While Mr. Kobrin is a trusted legal advisor to a variety of industries, his knowledge and experience is particularly deep in the cannabis

industry. He is the former vice president and general counsel for Trulieve Cannabis Corp., where he led and managed the company’s in-house and outside legal team in a $2.1 billion acquisition that turned the company into one of the largest cannabis operators

in the United States. He also previously worked as general counsel and chief compliance officer for Cansortium Holdings LLC, a multinational cannabis company focusing on medical uses.

Some of his other major matters include:

  • Serving as co-lead and lead regulatory counsel to a large financial institution in its $35 million financing to a multi-state cannabis operator.
  • Assisting, advising and serving as the lead regulatory counsel to a multi-state operator in its acquisition of multiple Pennsylvania license holders.

Businesses ranging from multi-national corporations to start-ups and ancillary support companies rely on Mr. Kobrin for legal advice

related to business formation and development, corporate organization and structuring, and complex contract negotiations. On the regulatory side of his practice, Mr. Kobrin advises on issues such as crafting and seeking approvals for cannabis licensing applications

and transfers and preparing and filing federal and state regulatory registrations. He also helps clients develop corporate infrastructure and governance models and regulatory and banking compliance protocols.

In addition to his cannabis work, Mr. Kobrin advises companies on antitrust issues, particularly those involving the Hart-Scott-Rodino Act.

“We are thrilled to welcome Zack to Saul Ewing,” said Jonathan Havens, co-chair of the firm’s Cannabis Law Practice and Managing Partner of its Baltimore office. “He has a great

reputation in and beyond the cannabis industry as both a leader of legal teams capable of negotiating high-profile, company-changing deals and navigating complex statutory and regulatory regimes. Zack is not only a known name in the Florida cannabis space,

but is also well-versed on issues involving several states’ medical and adult-use cannabis programs. He also handles financing-related work for the industry that has applications to the needs of many of the firm’s clients across a variety of business types.”

Mr. Kobrin earned his J.D. from Florida State University College of Law. He also has a B.A. from Florida State University.
