VANCOUVER, British Columbia — LEEF Brands Inc. acquired Standard Holdings Inc., the parent company of California-based grower and concentrates producer HIMALAYA Vapor, in an all-stock transaction valued at $2.5 million.
Under the terms of the agreement, LEEF will exchange 13,688,000 shares of its exchange-traded stock, plus warrants, for HIMALAYA’s cultivation and extraction platforms.
By integrating HIMALAYA, LEEF expects to improve unit economics by lowering input costs. This change is anticipated to generate free cash flow from HIMALAYA during the first year of combined operations.
