TORONTO — At Organigram Holdings Inc.’s annual general and special meeting held on January 18, 2024, an ordinary resolution approving the previously announced C$124.6 million follow-on strategic equity investment by the Investor in the Company, was approved by the affirmative vote of 96.169% of the votes represented at the Meeting (or 86.926% of the voted represented at the Meeting excluding the votes attached to the common shares held by the Investor in accordance with Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions and the rules of the Toronto Stock Exchange).
Subject to the satisfaction or waiver of the other conditions to closing contained in the subscription agreement with the Investor dated November 5, 2023, as amended on December 20, 2023, the closing of the first tranche of the Investment is expected to close on or around January 23, 2024.
In addition, a special resolution approving the amendment of the Company’s articles to create a new class of Class A preferred shares to be issued by the Company to the Investor in the Investment was approved by the affirmative vote of 92.139% of the votes represented at the Meeting.
Following receipt of the necessary Shareholder approval, the Company filed articles of amendment to create the new class of Class A Preferred Shares. A copy of the articles of amendment will be available under the Company’s profile on SEDAR+ at www.sedarplus.ca and on EDGAR at www.sec.gov. The Class A Preferred Shares will not be listed for trading on the TSX or on any other stock exchange.

Karina Gehring appointment
In addition, the company announced the appointment of Karina Gehring to the Organigram Board of Directors.
